BACKGROUND

The Company was incorporated in Singapore under the name of Colonel Sanders Kentucky Fried Chicken Pte Ltd on 22 September 1973. On 1 February 1983, it was converted into a public limited company under the name of Kentucky Fried Chicken (S) Ltd, operating the fast food franchise.

In 1986, after transferring the fast food business to a subsidiary, it became a holding management and investment company, under its present name. In 1992, it divested the Kentucky Fried Chicken business. In 1993, it wrote off a substantial part of its losses by reducing the par value of its shares from $1 to $0.20 followed by a rights issue. In 1996, it divested its paper trading business. In 1997, it divested its poultry processing business in China. In 2002, the Company wrote off $78,020,000 of its losses through a capital reduction exercise which reduces the par value of the Company's share from $0.20 to $0.01 each.

The principal activities of the Group now are the franchising of the Shakey’s restaurant system in the USA. The Group also engaged in IT development and Telecommunication services. The Company is an investment holding and management services company.

now those share i hold for xx year suddenly rise volume and sell down....
lousy luck......

PROPOSED PRIVATE PLACEMENT OF AN AGGREGATE OF 400,000,000 SHARES IN INNOPACIFIC
HOLDINGS LTD ("THE SUBSCRIPTION”)

1. Introduction
1.1 The Board of Directors of Inno-Pacific Holdings Ltd (“Company”) wishes to announce that it
has on 22 June 2012 entered into 4 conditional subscription agreements (collectively
“Subscription Agreements”) with 4 individuals (“Subscribers” and each a “Subscriber”) for
the issuance and subscription of an aggregate of 400,000,000 new ordinary shares
(“Subscription Shares” and each “Subscription Share”) in the capital of the Company at
the issue price of $0.0135 (“Subscription Price”) per Subscription Share. The Subscription
Shares when issued and fully paid will rank pari passu in all respects with the existing
ordinary shares in the capital of the Company.
1.2 The Subscription Price represents a discount of 10% to the weighted average price of $0.015
for trades done on the Singapore Exchange Securities Trading Limited ("SGXST“) on 22 June
2012 which is the full market day on which the Company’s shares were traded on the date the
Subscription Agreements were entered into. The discount of 10% is within the discount of
10% as stated in Rule 811(1) of the Listing Manual the SGX.
1.3 The Subscription Shares represents approximately 19.79% of the existing issued share
capital and approximately 16.52% of the enlarged issued capital of the Company and are
intended to be issued pursuant to the general mandate obtained at the annual general
meeting of the Company held on 27 April 2012 (“2012 AGM”). The general mandate
(“General Mandate”) obtained at the 2012 AGM authorised and empowered the Directors of
the Company to, inter alia, issue shares in the Company not exceeding 50% of the total
number of issued shares (excluding treasury shares), of which the aggregate number of
shares to be issued other than on a pro rata basis to existing shareholders shall not exceed
20% of the total number of issued shares in the capital of the Company.

if xfactor is looking at this stock, any idea if it can hit past 6cents based on your judgement/opinion?
